Ballard buys GeoPura for GBP 275 million
Ballard Power Systems announced on 30 August 2026 the completion of its acquisition of GeoPura for 275 million pounds, of which 82.5 million in cash and the remainder in 49,584,212 newly issued shares, plus 27.5 million contingent on post-closing milestones.
What the announcement leaves out is who absorbs the loss if demand for hydrogen energy-as-a-service does not materialise. Ballard's own second quarter 2026 results, for the quarter ended 30 June, report revenue of US$ 20.6 million and an order backlog of US$ 156.6 million, a base well below the price paid.
Paying in shares has already spread that risk: former GeoPura shareholders now hold about 14.1% of Ballard and existing shareholders were diluted by the same measure. If recurring revenue is slow to arrive, the gap shows up as a write-down and in the US$ 502.1 million of cash funding operations until the profitability target at the end of 2027.
The diluted shareholder answers for the gap, and the variable that measures it is the pace of energy-as-a-service contracting.
